Introduction: The Landmark MCA Amendment of 2026
The Ministry of Corporate Affairs (MCA) has introduced a landmark change to Director KYC compliance through the Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 (notified vide G.S.R. 943(E)). Effective from 31st March, 2026, the traditional annual DIR-3 KYC filing has been replaced with a simplified triennial (once in three years) compliance cycle. This is a major relief for directors, reducing repetitive compliance burdens while maintaining corporate governance integrity.
Key Changes: Annual vs. Triennial Filing Cycle
Under the revised Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014, directors are no longer required to file DIR-3 KYC every single year. Instead, the compliance is structured as follows:
- Triennial Cycle: KYC must be filed once every three consecutive financial years.
- New Due Date: The filing must be completed on or before 30th June of the financial year immediately following the third consecutive financial year (shifting from the previous 30th September deadline).
- Unified Form: The earlier dual-track system (e-Form DIR-3 KYC and DIR-3 KYC-Web service) has been consolidated into a single, unified Form DIR-3 KYC Web.
Understanding the 3-Year Cycle (Illustrative Scenarios)
To avoid confusion, the MCA has linked the next due date to the financial year of DIN allotment:
| DIN Allotment / Status | Next DIR-3 KYC Web Due Date |
|---|---|
| DIN allotted on or before 31st March 2025 (and KYC filed for FY 2025-26) | Between 1st April and 30th June 2028 |
| DIN allotted during FY 2025-26 | Between 1st April and 30th June 2029 |
| DIN allotted during FY 2026-27 | Between 1st April and 30th June 2030 |
| Deactivated DIN (Missed previous deadlines) | Immediate filing required with ₹5,000 late fee |
The 30-Day Event-Based Update Rule
While routine filing is now triennial, any change in a director's personal details—specifically mobile number, email address, or residential address—must be updated within 30 days of such change using Form DIR-3 KYC Web. A fee of ₹500 is applicable for these event-based updates. Crucially, updating details mid-cycle does not reset the three-year routine filing clock.
Consequences of Non-Compliance
Failure to file the triennial KYC or the 30-day change update leads to severe regulatory consequences:
- DIN Deactivation: The MCA will mark the DIN as "Deactivated due to non-filing of DIR-3 KYC".
- Filing Block: A deactivated DIN prevents the director from signing or authenticating any MCA e-forms, including crucial annual filings like Form AOC-4 (Financial Statements) and Form MGT-7/7A (Annual Return).
- Late Fee: Reactivating a deactivated DIN requires filing the form along with a flat late fee of ₹5,000.
Comprehensive Compliance Checklist for Directors
To ensure seamless compliance, directors and corporate secretarial teams should keep the following checklist ready:
- DIN Status Verification: Regularly check the DIN status on the MCA portal to ensure it is "Approved".
- Identity Proofs: Self-attested copy of PAN Card (mandatory for Indian citizens) and Passport (mandatory for foreign nationals).
- Address Proofs: Self-attested copy of Aadhaar Card, Voter ID, Driving License, or recent utility bills (not older than 2 months).
- Active Contact Details: Ensure access to the registered mobile number and email ID for real-time OTP verification.
- Digital Signature Certificate (DSC): While routine triennial web filings do not require DSC or professional certification (unless details are being updated), having an active DSC is recommended for any event-based changes.
